By accessing or using the E-Square Financials platform at esquarefinancials.in ("Platform"), you ("User", "Client") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms applicable to specific services.

If you do not agree to these Terms, you must discontinue use of the Platform immediately. These Terms constitute a legally binding agreement between you and E-Square Financials, governed by the laws of India.

We reserve the right to modify these Terms at any time. Continued use after modification constitutes acceptance.

E-Square Financials is a financial advisory and services platform registered in India, providing services across: • Portfolio Management & Investment Advisory • Taxation Advisory & Compliance (Authorised Tax Consultant) • Real Estate Transaction Advisory (RERA Registered) • Retail Lending Facilitation (RBI Compliant)

You must be at least 18 years of age and legally capable of entering into binding contracts under the Indian Contract Act, 1872 to use this Platform.

By registering, you represent and warrant that: • All information provided during registration is accurate and current • You are not barred from using financial services under any applicable law • You will maintain the confidentiality of your account credentials • You will promptly notify us of any unauthorised account access

4.1 Nature of Advisory: Investment advice provided on this Platform is general in nature and based on information you provide. Past performance of any investment product is not indicative of future results.

4.2 SEBI Compliance: All investment advisory services are provided in compliance with SEBI (Investment Advisers) Regulations, 2013.

4.3 Risk Acknowledgement: All investments are subject to market risks. Mutual funds, equities, and alternative investments may result in loss of principal. You acknowledge that you have read all offer documents and scheme information documents before investing.

4.4 No Guaranteed Returns: E-Square Financials does not guarantee any specific return on investment. Projections and estimates in our calculators are illustrative only.

4.5 Suitability: We conduct risk profiling before providing investment advice. You must accurately disclose your financial situation, risk tolerance, and investment objectives.

5.1 Accuracy of Information: Tax advisory and filing services are based solely on information provided by you. You are responsible for the accuracy and completeness of all data, documents, and declarations submitted.

5.2 No Liability for Client Errors: E-Square Financials is not liable for penalties, interest, or notices arising from incorrect or incomplete information provided by you.

5.3 Government Processing: We facilitate filing with the Income Tax Department and GST Portal. We have no control over processing times, refund timelines, or system availability of government portals.

5.4 Confidentiality: Tax return data is strictly confidential and will not be disclosed to any third party except as required by law or with your explicit consent.

6.1 RERA Compliance: All real estate transaction advisory services are conducted in compliance with the Real Estate (Regulation and Development) Act, 2016 (RERA) and applicable state RERA regulations.

6.2 Advisory Only: E-Square Financials acts as a facilitator and advisor. We are not a party to any property sale agreement, and final decisions on property purchase or sale rest entirely with you.

6.3 Due Diligence: While we assist with property verification and due diligence, you are advised to independently verify all property documents, title, encumbrances, and legal status before executing any transaction.

6.4 No Warranty on Property: We make no warranty or representation regarding the quality, value, condition, or legal status of any property listed or recommended on the Platform.

7.1 Facilitator Role: E-Square Financials acts as a loan facilitator and does not directly lend money. Loan approvals, interest rates, and terms are determined exclusively by the lending bank or NBFC.

7.2 Credit Bureau Consent: By applying for a loan through our Platform, you explicitly consent to E-Square Financials and its lending partners accessing your credit bureau report from CIBIL, Experian, or other authorised agencies.

7.3 No Guarantee of Approval: We do not guarantee loan approval, specific interest rates, or loan amounts. These are determined by the lender based on your credit profile and internal policies.

7.4 RBI Guidelines: All lending facilitation services comply with RBI's digital lending guidelines issued in September 2022 and subsequent circulars.

8.1 Subscription Plans: Access to platform features is subject to subscription fees as described on our Pricing page. Fees are charged in advance for the selected period.

8.2 Payment Processing: Payments are processed securely through Razorpay, a PCI-DSS compliant payment gateway. E-Square Financials does not store your card or bank account credentials.

8.3 Advisory Fees: Fees for specific advisory services (tax filing, investment planning, property consultation) are agreed upon and disclosed before service commencement.

8.4 Fee Changes: We reserve the right to revise subscription fees with 30 days' prior notice. Existing subscribers will not be affected during their current subscription period.

8.5 Taxes: All fees are exclusive of applicable GST. GST will be charged at the prevailing rate and reflected in your invoice.

All content on the Platform — including text, graphics, logos, calculators, software, research reports, and data — is the intellectual property of E-Square Financials or its licensors and is protected under the Copyright Act, 1957 and the Trade Marks Act, 1999.

You may not reproduce, distribute, modify, or create derivative works from Platform content without prior written permission. Personal, non-commercial use for reference purposes is permitted.

You agree not to: • Use the Platform for any unlawful purpose or in violation of applicable Indian law • Impersonate any person or entity • Attempt to gain unauthorised access to any part of the Platform or its systems • Transmit malware, viruses, or harmful code • Engage in money laundering, tax evasion, or any activity prohibited under PMLA 2002 • Use automated tools to scrape or extract data from the Platform • Provide false or misleading information in any form or application • Use the Platform in any manner that could damage, disable, or impair its functionality

To the maximum extent permitted by applicable law:

E-Square Financials shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or investment returns, arising from your use of the Platform or reliance on any information provided.

Our total aggregate liability for any claim shall not exceed the fees paid by you to E-Square Financials in the 12 months preceding the claim.

This limitation does not apply to liability arising from fraud, gross negligence, wilful misconduct, or death/personal injury caused by our negligence.

The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses.

Financial calculators and projections are for illustrative purposes only and should not be relied upon as the sole basis for financial decisions.

Market data displayed on the Platform is sourced from third-party providers and may have delays. E-Square Financials is not responsible for the accuracy of third-party market data.

These Terms are governed by and construed in accordance with the laws of India.

In the event of any dispute, the parties shall first attempt to resolve the matter through good-faith negotiation within 30 days. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual consent. The seat of arbitration shall be Hyderabad, Telangana.

For consumer disputes, you may also approach the appropriate consumer forum under the Consumer Protection Act, 2019, or SEBI's SCORES platform for investment-related grievances.

Courts at Hyderabad, Telangana shall have exclusive jurisdiction for all matters not subject to arbitration.

We reserve the right to suspend or terminate your account with immediate effect if you breach these Terms, provide false information, engage in fraudulent activity, or if required by applicable law or regulatory authority.

Upon termination, your right to access the Platform ceases. Data retention post-termination is governed by our Privacy Policy and applicable statutory requirements.
